When it pays to have a commercial lawyer

  • When setting up the company

Legal form, articles of association and capital: starting well avoids problems with shareholders, banks and the Spanish Tax Agency (Agencia Tributaria).

  • Between shareholders

A clear shareholders' agreement (pacto de socios) decides what happens if someone wants to leave, sell or stops contributing.

  • Before you sign

Contracts with customers, suppliers or distributors reviewed so that they don't commit you to more than they should.

Who does what

Commercial advice for SMEs: lawyer or gestoría

They don't do the same job, and one doesn't rule out the other: this is what each one handles.

The administrative side

Gestoría

An administrative and accounting agency: it handles the administrative side of the company.

What they handle
The accounts, taxes and administrative paperwork.
When to turn to them
For the company's day-to-day administration.

The legal side

Commercial lawyer

Deals with whatever has legal consequences.

What they handle
Articles of association, shareholders' agreements, contracts, directors' liability and disputes.
When to turn to them
When setting up the company, reaching an agreement with the shareholders or signing a contract.

Many SMEs combine the two: a gestoría and a business lawyer to consult.

What a commercial lawyer does for your business

A commercial lawyer (abogado mercantil) supports companies, shareholders and entrepreneurs from the moment the company is set up until it is sold or wound up. We put you in touch with bar-registered lawyers who specialise in commercial and company law.

  • Shareholders, general meetings and directors

A company law lawyer drafts the shareholders’ agreement (pacto de socios), prepares general meetings and resolutions, and advises on disputes: deadlocks, challenges to resolutions or a shareholder leaving. They also inform directors of their duties.

  • Commercial contracts

Distribution, agency, franchise, services or confidentiality: reviewing a contract before signing usually works out much cheaper than litigating afterwards. In the sale and purchase of companies, there is also due diligence: the prior review of the company’s legal, contractual and corporate situation.

  • Personal data, trade marks and intangible assets

Every company must comply with the GDPR (data protection lawyer), and your brand, your website or your software are worth protecting (intellectual property lawyer). If you have staff, personnel matters are handled by an employment lawyer.

Starting the company on the right foot

Choosing between being self-employed (autónomo), a limited company (SL) or a public limited company (SA), drafting the articles of association and deciding on the capital and the management body. Since the Crea y Crece Act (Ley Crea y Crece), an SL can be set up with a capital of €1, although with special rules: we explain it in setting up a company.

Frequently asked questions

Questions about commercial lawyers

What is the difference between a commercial lawyer and a gestoría?

The gestoría (an administrative and accounting agency) handles the accounts, taxes and paperwork; the commercial lawyer, the legal side: articles of association, shareholders' agreements, contracts, directors' liability and disputes.

Do I need a lawyer to set up a company?

No: the public deed (escritura) is signed before a notary and registered at the Companies Registry (Registro Mercantil). But the lawyer adapts the articles of association and the shareholders' agreement to your case; standard templates don't.

What is a shareholders' agreement and why is it a good idea?

A private agreement that supplements the articles of association: how decisions are made, what happens if someone wants to sell or leave, how the shares are valued and how deadlocks are resolved.

Are directors liable with their own assets?

In some cases: for damage caused by acts contrary to the law or to the articles of association, or for the company's debts if they do not promote its dissolution when there is a legal ground for it.

How much does a commercial lawyer charge?

It depends on the matter: a fixed fee per transaction or a monthly retainer (iguala) for SMEs. Ask for the quote in writing before starting.
